1. Acceptance of Terms

These Terms & Conditions ("Terms") govern your access to and use of the website www.grgindia.in (the "Website"), and the Buzzz and My Incentives platforms and any related applications, dashboards, or services (collectively, the "Services"), operated by Tajonline India Private Limited, trading as GRG India ("GRG India", "we", "us", "our"), having its registered office at Satya House, 402, Hi-Tech IT Park, 2nd & 4th Floor, Sewri West, Mumbai 400 015, India.

By accessing the Website, booking a demo, registering for an account, or otherwise using the Services, you ("you", "User", "Client") agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity.

If you do not agree to these Terms, do not access or use the Website or Services.

2. Definitions

• "Account" means a registered user account on the Buzzz or My Incentives platform.
• "Client Data" means any data, content, or information uploaded, submitted, or generated by a Client or its authorized users through the Services, including but not limited to employee/participant lists, campaign data, reward redemption records, and performance data.
• "Services" means the Buzzz platform, the My Incentives platform, the Website, and any associated support, documentation, or professional services provided by GRG India.
• "Subscription" means a paid plan granting access to the Services for an agreed term.

3. Eligibility

The Services are intended for use by businesses and organizations (B2B) and their authorized representatives. By using the Services, you represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement, either individually or on behalf of an organization.

4. Description of Services

GRG India provides SaaS platforms — Buzzz (employee recognition, motivation, and engagement) and My Incentives (sales incentive and commission management) — that enable organizations to design, automate, and manage rewards, incentive, recognition, and loyalty programs for employees, channel partners, retail teams, and influencers.

GRG India reserves the right to modify, suspend, or discontinue any feature of the Services, in whole or in part, at any time, with reasonable notice to active subscribers where practicable.

5. Account Registration & Security

5.1 To access the Buzzz or My Incentives client portals, you must register for an Account and provide accurate, current, and complete information.

5.2 You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account.

5.3 You must notify GRG India immediately at compliance@grgindia.in of any unauthorized use of your Account or any other breach of security.

5.4 GRG India is not liable for any loss or damage arising from your failure to comply with this section.

6. Subscriptions, Fees & Payment

6.1 Access to the Buzzz and My Incentives platforms is provided on a subscription basis, as set out in the applicable order form, quotation, or commercial agreement executed between GRG India and the Client ("Order Form").

6.2 Fees, billing cycle, and payment terms will be as specified in the Order Form. Unless otherwise agreed in writing, fees are non-refundable except as required by law.

6.3 GRG India reserves the right to suspend access to the Services for non-payment, following reasonable prior notice.

6.4 All fees are exclusive of applicable taxes (including GST), which shall be borne by the Client unless otherwise stated.

7. Free Demo / Trial

Where GRG India offers a free demonstration or trial of the Services, such access is provided "as is," without warranty, and may be withdrawn or limited at GRG India's discretion at any time without liability.

8. Client Data & Content Ownership

8.1 As between GRG India and the Client, the Client retains all ownership rights in Client Data.

8.2 The Client grants GRG India a limited, non-exclusive license to access, host, process, and use Client Data solely to the extent necessary to provide the Services, in accordance with our Privacy Policy.

8.3 GRG India does not claim ownership of Client Data and will not use it for any purpose other than delivering, maintaining, and improving the Services, except as otherwise agreed in writing or required by law.

8.4 The Client is solely responsible for ensuring it has the necessary rights and consents to upload and process any personal data of its employees, partners, or other individuals through the Services.

9. Acceptable Use Policy

You agree not to, and not to permit any third party to:

• Use the Services for any unlawful purpose or in violation of any applicable law or regulation;
• Upload or transmit any data that infringes any third party's intellectual property, privacy, or other rights;
• Attempt to gain unauthorized access to the Services, other accounts, or GRG India's systems or networks;
• Reverse engineer, decompile, or disassemble any part of the Services, except as permitted by law;
• Use the Services to transmit any virus, malware, or harmful code;
• Resell, sublicense, or provide the Services to any third party without GRG India's prior written consent;
• Use automated means (bots, scrapers) to access the Website or Services without authorization.

GRG India reserves the right to suspend or terminate access for any User in breach of this section.

10. Intellectual Property Rights

10.1 All rights, title, and interest in and to the Website, the Buzzz and My Incentives platforms, their underlying software, design, trademarks, logos, and content (excluding Client Data) are and shall remain the exclusive property of GRG India / Tajonline India Private Limited or its licensors.

10.2 Nothing in these Terms grants you any right or license to use GRG India's trademarks, logos, or branding without prior written consent.

10.3 Any feedback, suggestions, or ideas you provide regarding the Services may be used by GRG India without restriction or compensation.

11. Third-Party Links & Integrations

The Services may contain links to, or integrations with, third-party websites, reward catalogs, payment processors, or service providers. GRG India does not control and is not responsible for the content, policies, or practices of any third party. Use of third-party services is subject to their respective terms and policies.

12. Confidentiality

Each party agrees to protect the other party's confidential information disclosed in connection with the Services with the same degree of care it uses for its own confidential information of similar nature, and not to disclose such information to any third party without prior written consent, except as required by law or as necessary to perform obligations under these Terms.

13. Warranties & Disclaimers

13.1 GRG India will use commercially reasonable efforts to provide the Services in a professional and workmanlike manner.

13.2 EXCEPT AS EXPRESSLY STATED IN AN ORDER FORM OR SERVICE AGREEMENT, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

13.3 GRG India does not warrant that the Services will meet all of the Client's requirements or that defects will be corrected within any specific timeframe.

14. Limitation of Liability

14.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRG INDIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE SERVICES.

14.2 GRG India's aggregate liability arising out of or relating to these Terms or the Services shall not exceed the total fees paid by the Client to GRG India in the twelve (12) months preceding the event giving rise to the claim.

14.3 Nothing in these Terms shall limit or exclude liability that cannot be limited or excluded under applicable law, including liability for fraud or willful misconduct.

15. Indemnification

You agree to indemnify and hold harmless GRG India, its directors, employees, and affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of your breach of these Terms, misuse of the Services, or violation of any third-party rights or applicable law.

16. Term, Suspension & Termination

16.1 These Terms remain in effect for as long as you use the Website or hold an active Account.

16.2 GRG India may suspend or terminate your access to the Services, with or without notice, in the event of a breach of these Terms, non-payment, suspected fraud, or as required by law.

16.3 Upon termination of a paid subscription, the terms of the applicable Order Form regarding data export and deletion shall apply.

17. Data Protection

Your use of the Services and any personal data processed through them is subject to our Privacy Policy, which forms part of these Terms by reference. Where GRG India processes personal data on behalf of a Client as a data processor, the terms of the applicable Data Processing Agreement (where executed) shall govern.

18. Force Majeure

Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, internet or utility failures, or governmental action.

19. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Subject to the foregoing, the courts at Mumbai, Maharashtra shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms or the Services.

20. Changes to These Terms

GRG India may revise these Terms from time to time. Material changes will be notified via a prominent notice on the Website. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

21. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
